Terms of service

These Terms of Service (“Terms”) govern the relationship between you and Vox AI Productions Oy (“Vox AI”, “we”, “us”) regarding your use of the Clubwrk platform, all of its separate applications, content and any other services provided by Vox AI related to the solution (together “Services”).

Clubwrk platform is a service for sports and other clubs to earn funds for their activities. We assign text and speech recording tasks for you and your club members to record them over your device. When the agreed amount of people have completed the recordings we pay your club for every recorded hour of speech. We collect the speech data, pack it accordingly, and provide it further to our partners.

Subject to your acceptance of these Terms, you may access or use the Services. These Terms affect your legal rights and obligations, so if you do not agree to the Terms, you may not use the Services.

The Services are not intended for children under 16 years of age. If you are under 16, please do not use the Services. By using the Services, you represent that you are 16 years of age or older. If you are not old enough to have authority to agree to these Terms in your country or territory, your parent or guardian must agree to these Terms on your behalf. Please ask your parent or guardian to read these Terms with you.

Vox AI’s privacy policy (“Privacy Policy”) helps you understand what personal data Vox AI collects, and how such personal data is otherwise processed. Privacy Policy contains information that you should review prior to using the Services.

Use of services

Subject to your compliance with these Terms, Vox AI grants to you a limited, non-exclusive, non- sublicensable, revocable and non-transferable right to access and use the Services solely for the purpose it is intended for. You may not use any part of the Services for any purpose other than the permitted use of the Services.

Except as provided herein, you may not sell, transfer, rent or give away your right to use and access the Services. You may not use the Services if you have previously been removed from using any part of the Services by Vox AI.

By using the Services, you specifically agree that you will not:

You may use the Services only in compliance with these Terms and all applicable laws and regulations. Without limiting any other remedies, Vox AI may suspend or terminate access to the Services or parts thereof if you fail to comply, or if Vox AI suspects such failure, with the Terms or for any actual or suspected illegal or improper use of the Services. You may lose, as a result of termination or limitation of your right to use the Services, material, content and privileges associated with your use of the Services, and Vox AI is under no obligation whatsoever to compensate you for any such losses or results.

Registration and account

Some parts or features of the Services require registration. When you register, you will create a personal user account with a username and password. You must provide us with correct personal and other information if such information is required and keep the information up-to-date.

You must protect your username and password against misuse and keep them personal and confidential. You are responsible for maintaining the confidentiality of the information you hold for your account, including your password, and for any and all activity that occurs under your account as a result of your failing to keep this information secure and confidential. You must promptly notify us about any unauthorized access or use. You agree that you are personally responsible for the use of your user account, and for all of the communication and activity in connection with the Services.

Payments

Vox AI will pay the amount set out in the Services for your club’s fundraising goal for each hour of Content provided to Vox AI. Only Content with adequate quality, as determined by Vox AI, shall be counted as Content supplied to achieve the fundraising goal. You should ensure that your recordings do not contain inaudible sounds and that the quality of the recording otherwise complies with the instructions provided in the Services.

You acknowledge and agree that any payments relating to provisions of the Content will be made to the club associated with you, not to you directly.

Vox AI will have sole discretion on whether it accepts the Content provided or not.

Intellectual property rights

All rights, title and interest in and to the Services (including the related software and media), the design of the Services and associated content including text, scripts, graphics, audio, video, interactive features and the like, and the trademarks, service marks and logos contained therein (“Vox AI Material”) are owned by or licensed to Vox AI, subject to copyright and other intellectual property rights under Finnish and foreign laws and international conventions. Except as expressly provided in the Terms, Vox AI does not grant any express or implied rights to use Vox AI Material. Any feedback you provide in relation to the Services shall be deemed to be non-confidential and Vox AI shall be free to use such feedback on an unrestricted basis.

Content

The Services may allow you to submit content such as speech recordings to the Services. When you submit content to the Services, you are solely and entirely responsible for content you upload, transmit, store or otherwise make available through the Services, and you agree not to submit any unlawful content, content violating any intellectual property rights, content containing any viruses or harmful code or otherwise inappropriate content. This responsibility continues even if you stop using our Services. You agree to indemnify us if any third party takes action against us in relation to the content you submit.

As between you and us, you retain all intellectual property rights and title to the content you submit to the Services. When you submit content to the Services, you grant Vox AI a worldwide, perpetual, fully paid up and unlimited license to use, store, reproduce, modify, create derivative works, sell, distribute and otherwise utilize such content for the purpose of providing the Services and for the purpose of providing the Content to our partners, and the right to assign such rights. You represent and warrant that you have the legal right to grant these rights to Vox AI; please make sure you have all the necessary rights to grant Vox AI this license to the Content you submit to the Services.

You accept that Vox AI may use the content provided by you, such as speech recordings, to improve and develop its Services. Additionally, Vox AI may collect anonymized transaction and analytics data through the use of the Services, and to use such anonymized data to optimize, improve and develop the Services.

Third-party services and terms

The Services may contain links to websites operated by third parties or feature content which is made available by third-party service providers and enable you to access and use certain third-party services. Use of any websites operated by third parties, third-party services and/or content in third-party services shall be, in addition to these Terms, subject to the relevant third-party service provider’s terms and conditions applicable to use of such third-party services or the applicable license(s) under which any such content is made available.

Vox AI assumes no responsibility for such third-party services and/or content. If you access a third-party site or services from the Services on or through any third-party site or service, you do so at your own risk, and you understand that these Terms and Vox AI’s Privacy Policy do not apply to your use of such sites. In addition, a link to a third-party service or website does not imply that Vox AI endorses the site or the information, products or services referenced in such third-party service or website.

Security and personal data

Vox AI takes appropriate measures to prevent unauthorized access to, improper use of and the reasonable accuracy of any processed personal data. Vox AI uses various technologies and protocols to ensure high security standards. Any data that is stored on Vox AI servers is not generally available to the public. However, the use of internet services always includes security risks. You are always liable for all your own equipment, internet connectivity and software as well as that they do not cause harm to Vox AI and/or third parties.

Use of your personal data is governed by Vox AI’s Privacy Policy.

Support and changes

We use reasonable efforts to ensure that the Services is available 24 hours a day 7 days a week, but we cannot promise that access to the Services will be uninterrupted or error free. There may be occasions when access to the Service is interrupted due to e.g. regular maintenance.

Free support assisting in the use of Services is provided, at our sole discretion and without any warranties or service level guarantees for response times, by email. Contact andreas@voxai.eu for assistance.

Vox AI may change the Services by adding, modifying or removing any features or functionalities. We may also stop providing parts of, or the whole of, the Services. We may also create new operating guidelines, limitations or terms applicable to the Services at any time.

Limitation of liability

To the maximum extent permitted by applicable law and except as explicitly provided in these Terms, Vox AI makes no warranty or representation, either expressed or implied with respect to the Services, their correctness, quality, performance, non-infringement or fitness for a particular purpose. As a result, the Services are provided “as is” and “as available” and you are assuming the entire risk as to their quality and performance. Vox AI does not warrant that the Service will be uninterrupted or error-free.

Vox AI shall not be liable for any direct, indirect, incidental, special or consequential damages, lost profits, data or for business interruption arising out of the use of or inability to use the Services, even if Vox AI has been advised of the possibility of such damages. In no event shall Vox AI be liable to you for any damages, losses or costs in an amount exceeding EUR 100.00.

The limitations of this section apply only to the maximum extent permitted by applicable law.

Indemnification

You agree to indemnify and hold harmless Vox AI from and against any and all third party claims and all liabilities, assessments, losses, costs or damages, including reasonable attorneys' fees, resulting from or arising out of (a) any content you submit, transmit, or otherwise make available through the Services; (b) your use of the Services; (c) any violation by you of these Terms; or (d) your actual or alleged violation of any third party rights. This obligation shall survive the termination or expiration of these Terms and/or your use of the Services. Vox AI reserves the right to assume its own defense and/or control of any matter otherwise subject to indemnification by you hereunder.

Force majeure

Vox AI shall not be liable for any delay or failure to perform resulting from causes outside the reasonable control of Vox AI, including without limitation any failure to perform hereunder due to unforeseen circumstances or cause beyond Vox AI’s control such as war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, epidemics, pandemics strikes, or shortages of transportation facilities, fuel, energy, labor or materials.

Termination

The license to use the Services granted to you under these Terms remains in effect until the access to the Services is terminated by you or Vox AI. You may stop using our Services at any time. Vox AI may terminate or suspend access to our Services immediately if you breach these Terms.

Upon termination in accordance with these Terms for any reason, you must cease all use of the Services and promptly delete any applications associated with the Services. Your termination of the license for any reason shall not release you from any liabilities or obligations set forth in these Terms which (a) have expressly been stated as surviving any such termination or expiration, or (b) remain to be performed, or by their nature would be intended to be applicable following any such termination or expiration.

You acknowledge and accept that the cancellation of the license is your sole right and remedy with respect to any dispute related to using the Services.

Miscellaneous

Vox AI may assign or delegate its rights and obligations under the Terms, in whole or in part, to any person or entity at any time without your consent. You may not assign or delegate rights or obligations under the Terms without Vox AI’s prior written consent.

These Terms contain the entire understanding between you and Vox AI and supersede all prior agreements between you and Vox AI.

These Terms describe certain legal rights. You may have other rights under the mandatory provisions of the laws of your country. These Terms do not change your rights under the mandatory provisions under the laws of your country. You and Vox AI agree that if any portion of the Terms or if Vox AI Privacy Policy’s is found illegal or unenforceable, in whole or in part by any court of competent jurisdiction, such provision shall, as to such jurisdiction, be ineffective solely to the extent of such determination of invalidity or unenforceability without affecting the validity or enforceability thereof in any other manner or jurisdiction and without the remaining provisions of the terms, which shall continue to be in full force and effect.

Vox AI reserves the right to change, modify, add or remove portions of the Terms and its Privacy Policy at any given time. You will be deemed to have accepted such changes by continuing to use the Services. Vox AI will, however, notify users by posting a note in the Services of any substantial changes to the Terms. Further, if at any point you do not agree to any portions of then-current version of our Terms, Vox AI’s Privacy Policy, or any other Vox AI policy, rules or codes of conduct relating to your use of the Services, your license to use the Services shall immediately terminate, and you must immediately stop using the Services. You can always cease using the Services by not using the solution. Please check the Services on a regular basis so that you remain informed of the then-current Terms.

Applicable law and disputes

These Terms shall be governed by and shall be construed in accordance with the laws of Finland excluding its choice of law provisions.

Any dispute or claim for compensation arising from the Services or these Terms will be resolved primarily through negotiations between Vox AI and you.

Any dispute or controversy or claim arising out of or relating to the Services or these Terms, shall be finally resolved arbitration in accordance with the Arbitration Rules of the Finland Chamber of Commerce by one (1) arbitrator appointed according to the aforementioned rules. The arbitration shall be conducted in the English (or Finnish if both parties so agree) language in Helsinki, Finland.

In addition to formal court proceedings, you may have the right to bring disputes regarding the Services to a third-party dispute resolution body, such as to the Finnish Consumer Disputes Board.
